1. BINDING AGREEMENT
These Terms of Use (“Terms”) constitute a legally binding agreement between you and Metabolix OS, LLC, a limited liability company (“Metabolix,” “Company,” “we,” “us,” or “our”).
By accessing or using any Metabolix website, mobile application, software platform, clinician dashboard, API, or related service (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
You represent that you are at least 18 years of age and legally capable of entering into this agreement.
2. NATURE OF THE SERVICES
Metabolix provides software infrastructure and technology services that enable:
· secure ingestion of user-authorized data from connected devices and third-party sources;
· visualization, organization, and transmission of health-related data;
· alerts and workflow notifications requiring human interpretation; and
· communication tools for licensed healthcare providers.
Metabolix does not:
· practice medicine;
· provide medical advice;
· diagnose disease or medical conditions;
· prescribe or recommend treatment;
· replace, direct, or override the independent judgment of licensed healthcare providers.
All clinical interpretation, diagnosis, treatment decisions, and patient care are made solely by licensed healthcare professionals using their independent judgment.
3. NO AUTOMATED MEDICAL OR CLINICAL DECISION-MAKING
Metabolix does not use algorithms, artificial intelligence, or automated processing to make medical diagnoses, treatment decisions, or clinical determinations.
Any alerts, thresholds, indicators, or status labels displayed through the Services:
· are informational only,
· are based on configurable or reference parameters, and
· require review, interpretation, and action by a licensed healthcare provider.
The Services do not replace professional medical judgment.
4. CONNECTED MEDICAL DEVICES
The Services may display data transmitted from third-party medical devices, including devices that are cleared or approved by the U.S. Food and Drug Administration (FDA).
Metabolix:
· does not manufacture, control, calibrate, validate, or maintain such devices;
· does not guarantee the accuracy, completeness, or timeliness of device-generated data; and
· is not responsible for device malfunction, data gaps, or transmission errors.
Responsibility for device selection and clinical reliance remains with the healthcare provider and patient.
5. NO MEDICAL EMERGENCY USE
The Services are not intended for emergency medical use.
If you believe you are experiencing a medical emergency, call 911 or your local emergency number immediately.
6. NO WARRANTIES
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, METABOLIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES REGARDING MEDICAL ACCURACY OR CLINICAL OUTCOMES.
7. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, METABOLIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR MEDICAL OUTCOMES, ARISING FROM OR RELATED TO USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8. PROHIBITED USES
You agree not to:
· access data or systems without authorization;
· reverse engineer, decompile, or attempt to extract source code;
· interfere with security or system integrity;
· misuse personal or health data;
· use the Services for unlawful or deceptive purposes.
9. INTELLECTUAL PROPERTY
All software, designs, text, graphics, trademarks, and proprietary materials are owned by or licensed to Metabolix OS, LLC. No license is granted except as expressly stated.
10. MODIFICATIONS
Metabolix may modify these Terms at any time by posting updated Terms. Continued use of the Services constitutes acceptance of the revised Terms.
11. GOVERNING LAW
These Terms are governed by the laws of the United States and the state in which Metabolix OS, LLC is organized, without regard to conflict-of-law principles.

BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THESE TERMS.
PRIVACY POLICY

1. INTRODUCTION
Metabolix OS, LLC (“Metabolix,” “we,” “us,” or “our”) is committed to protecting the privacy and security of personal information and health-related data.
This Privacy Policy describes how we collect, use, disclose, and safeguard information through our websites, mobile applications, software platforms, clinician dashboards, and related services (the “Services”).
2. DATA USE & PLATFORM DISCLOSURES
Metabolix’s data collection, use, and sharing practices are disclosed to users through:

· in-app notices,
· platform permission prompts, and
· applicable Apple App Store and Google Play disclosures.
These disclosures are intended to align with platform requirements and may vary by device or operating system.

3.2 Health-Related Data
With user authorization or provider direction:

· device-generated readings and timestamps.
Metabolix does not independently diagnose, treat, or generate medical conclusions from this data.
3.3 Technical & Usage Data
· IP address
· Browser and device type
· Operating system
· Log files
· Cookies and similar technologies
4. PURPOSE LIMITATION
Metabolix collects and processes data solely for:
· providing software functionality;
· enabling user-authorized monitoring and data visualization;
· facilitating provider workflows;
· maintaining system security and compliance.
Data is not used for unrelated purposes without additional notice and consent.
5. HOW WE USE INFORMATION
We use information to:
· operate and maintain the Services;
· display, transmit, and store authorized data;
· generate informational alerts and notifications;
· comply with legal and regulatory obligations;
· improve system performance and security.
6. NO SALE OF PERSONAL OR HEALTH DATA
Metabolix does not sell personal information or health data and has no intention of doing so.
Health data is not used for advertising or marketing targeting.
7. SHARING OF INFORMATION
We may share information:
· with licensed healthcare providers authorized by the user;
· with service providers (hosting, security, analytics) under strict confidentiality agreements;
· to comply with law, court orders, or lawful regulatory requests;
· to protect the rights, safety, or integrity of users and the platform.
8. HIPAA & HEALTH DATA COMPLIANCE
When Metabolix processes protected health information (“PHI”) on behalf of healthcare providers, Metabolix operates as a Business Associate under the Health Insurance Portability and Accountability Act (HIPAA) and complies with applicable requirements.
Metabolix enters into Business Associate Agreements where required and implements administrative, technical, and physical safeguards consistent with HIPAA standards.
9. NO CONSUMER RELIANCE FOR MEDICAL DECISIONS
Information displayed through the Services is intended to support, not replace, professional medical judgment. Users should not rely on the Services for medical decision-making or emergency care.
10. STATE PRIVACY RIGHTS
Residents of certain U.S. states — including California, Virginia, Colorado, Connecticut, and Utah — may have additional rights under applicable privacy laws, such as the right to:
· access personal information;
· correct inaccurate data;
· request deletion, subject to legal retention obligations;
· opt out of certain data uses.

We employ industry-standard administrative, technical, and physical safeguards, including encryption, access controls, audit logging, and role-based permissions. No system can be guaranteed 100% secure.

Information is retained only as long as necessary to provide the Services, comply with legal obligations, and fulfill contractual requirements.
13. CHILDREN’S PRIVACY
The Services are not intended for children under 13, and Metabolix does not knowingly collect personal information from children.
14. REGULATORY COOPERATION
Metabolix cooperates with lawful requests from regulatory authorities and healthcare oversight bodies and maintains compliance programs designed to align with applicable healthcare, privacy, and consumer protection laws.
15. CHANGES TO THIS POLICY
We may update this Privacy Policy at any time. Changes are effective upon posting.

Account & Data Deletion
Metabolix OS, LLC
Metabolix OS, LLC provides software infrastructure used by licensed healthcare providers for remote patient monitoring, data aggregation, and clinical data visualization. Metabolix OS, LLC does not provide medical care and does not practice medicine.
How to Request Account Deletion
Patients may request deletion of their Metabolix account by contacting:
Requests must include:
• Patient full name
• Email address associated with the account
• Name of the healthcare provider or clinic (if known)
Deletion Process
Upon receiving a request:
1. Metabolix verifies the request and associated provider relationship.
2. Metabolix coordinates with the licensed healthcare provider.
3. The patient’s platform account is deleted or de-identified, as appropriate.
Data Retention
Certain data may be retained as required by applicable law, including but not limited to:
• HIPAA and state medical record retention laws
• Audit logs and security records
• Data retained by the healthcare provider independently of the Metabolix platform
Metabolix does not delete medical records held by healthcare providers.
Important Notes
• Patients cannot delete accounts directly within the app.
• All account deletions are processed by Metabolix OS, LLC to ensure legal and regulatory compliance.
• Processing times may vary based on verification and regulatory requirements.
